ARTICLE I - NAME AND PURPOSE
Section 1. Name
The name of this organization shall be the Central Indiana Region Porsche Club of America, Inc., hereinafter referred to as the "Club" or "CIR-PCA."
Section 2. Purpose The purpose of this Club shall be to encourage the enjoyment, proper care, and maintenance of Porsche automobiles; to provide a medium for the exchange of technical and general information concerning Porsche automobiles; to promote safe and skillful driving; to encourage participation in Porsche Club of America activities; and to promote fellowship among Porsche enthusiasts.
ARTICLE II - MEMBERSHIP
Section 1. Eligibility
Membership in this Club shall be open to all members in good standing of the Porsche Club of America who reside within the geographic boundaries of the Central Indiana Region or who express a desire to participate in the activities of this Club.
Section 2. Classes of Membership
There shall be the following classes of membership:
a) Regular Members - Those members who have paid their annual dues and are members in good standing of PCA.
b) Associate Members - Non-voting members including spouses and family members of Regular Members.
c) Honorary Members - Individuals who have rendered outstanding service to the Club or to Porsche Club of America.
Section 3. Rights and Privileges
Regular Members shall have the right to vote, hold office, and participate in all Club activities. Associate Members may participate in all Club activities but may not vote or hold office. Honorary Members shall have all the rights and privileges of Regular Members.
ARTICLE III - OFFICERS AND BOARD OF DIRECTORS
Section 1. Officers The officers of this Club shall be President, Vice President, Secretary, and Treasurer. These officers, together with the immediate Past President and three Members-at-Large, shall constitute the Board of Directors.
Section 2. Duties of Officers
a) President - The President shall preside at all meetings of the Club and the Board of Directors, shall be responsible for the general management of the Club's affairs, and shall perform such other duties as may be prescribed by the Board of Directors or these Bylaws.
b) Vice President - The Vice President shall assist the President and shall perform the duties of the President in case of absence or inability to serve.
c) Secretary - The Secretary shall keep the minutes of all meetings of the Club and the Board of Directors, shall maintain membership records, and shall conduct the correspondence of the Club.
d) Treasurer - The Treasurer shall have custody of all funds of the Club, shall keep accurate financial records, and shall make financial reports as required by the Board of Directors.
ARTICLE IV - ELECTIONS
Section 1. Terms of Office
Officers shall serve for a term of two years or until their successors are elected and qualified. Terms shall begin on January 1st following election.
Section 2. Nominations
Nominations for officers may be made by any Regular Member. Nominations shall be accepted up to and including the annual meeting at which elections are held.
Section 3. Elections Elections shall be held at the annual meeting in November. Officers shall be elected by a majority vote of Regular Members present and voting.
ARTICLE V - MEETINGS
Section 1. Annual Meeting
The annual meeting of the Club shall be held in November at a time and place designated by the Board of Directors.
Section 2. Regular Meetings
Regular meetings may be held monthly at such time and place as may be designated by the Board of Directors.
Section 3. Special Meetings
Special meetings may be called by the President or by a majority of the Board of Directors.
Section 4. Quorum
A quorum for any meeting of the Club shall consist of ten Regular Members. A quorum for meetings of the Board of Directors shall consist of four members of the Board.
ARTICLE VI - AMENDMENTS
These Bylaws may be amended at any regular or special meeting of the Club by a two-thirds vote of the Regular Members present and voting, provided that notice of the proposed amendment has been given to the membership at least thirty days prior to the meeting at which the vote is to be taken.
ARTICLE VII - DISSOLUTION
In the event of dissolution of the Club, all assets shall be distributed to the Porsche Club of America, Inc., or to such other organization as may be designated by a majority vote of the Regular Members.
